Terms of Service

Welcome to Gulf Scrap. These Terms of Service ("Terms") govern your use of the Gulf Scrap mobile application (the "App") and services. By accessing or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the App.

2. Eligibility

You must meet the following requirements to use the App:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the App under applicable laws
  • Provide accurate and complete registration information

3. User Accounts

3.1 Account Creation

To use the App, you must create an account by providing accurate information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You agree to:

  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Ensure your account information is accurate and up-to-date

3.3 Role-Based Access

Your account will be assigned specific roles (Admin, Driver, Customer, etc.) with corresponding permissions. You agree to use only the features and access only the data permitted for your role.

4. Services Provided

Gulf Scrap provides the following services through the App:

  • Scrap metal collection request management
  • Invoice creation and management
  • Inventory tracking and sales recording
  • Financial transaction management
  • Communication between different user roles
  • Reporting and analytics

5. User Obligations

5.1 Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to the App or other users' data
  • Use the App for fraudulent purposes
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Interfere with or disrupt the App's operation

5.2 Content Responsibility

You are responsible for all content you upload, including photos, documents, and information. You warrant that you have the necessary rights to upload such content and that it does not violate any third-party rights.

5.3 Accurate Information

You agree to provide accurate information when creating invoices, recording transactions, and using other App features. False or misleading information may result in account suspension or termination.

6. Business Transactions

6.1 Invoices and Receipts

Invoices created through the App are legally binding documents. You are responsible for ensuring accuracy and compliance with Saudi Arabian tax laws, including VAT regulations.

6.2 Payment and Financial Records

Financial transactions recorded in the App should accurately reflect actual business operations. We provide tools for compliance but are not responsible for the accuracy of your financial records.

6.3 VAT Compliance

The App includes 15% KSA VAT calculation features. However, you are solely responsible for compliance with all applicable tax laws and regulations.

7. Intellectual Property

7.1 Our Rights

All rights, title, and interest in the App, including all content, features, and functionality, are owned by Gulf Scrap or our licensors. This includes trademarks, logos, and proprietary technology.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your business operations in accordance with these Terms.

7.3 User Content

By uploading content to the App, you grant us a license to store, process, and display such content as necessary to provide our services.

8. Fees and Payment

8.1 Service Fees

Use of the App may be subject to subscription fees or transaction charges. Current pricing will be communicated to you separately. We reserve the right to modify fees with advance notice.

8.2 Payment Terms

If applicable, you agree to pay all fees when due. Failure to pay may result in suspension or termination of service.

9. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

10. Limitation of Liability

10.1 Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GULF SCRAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

10.3 Indemnification

You agree to indemnify and hold harmless Gulf Scrap from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

11. Termination

11.1 By You (Customer Accounts)

Customer Account Deletion: Customers can delete their accounts at any time directly from the App by going to Profile → Delete Account.

What Data Gets DELETED When You Delete Your Account:

The Following Will Be PERMANENTLY DELETED:

  • Your user account and all authentication credentials
  • Your ability to sign in to the application
  • User profile document (stored in our database)
  • Profile photo and any personal uploaded images
  • All notifications, alerts, and messages
  • Push notification tokens and device registrations
  • Application preferences and settings
  • Your unique user identifier (UUID)
  • Login session data and access tokens

What Data Is PRESERVED (As Business Records - Required by Law):

The Following Business Records Will Be PRESERVED:

  • All Invoices - Preserved exactly as issued, including:
    • Your name, phone number, and email address (as they were at time of transaction)
    • Invoice numbers and reference numbers
    • All financial amounts and totals
    • VAT calculations and tax data (15% VAT rate)
    • Scrap type, weight, unit price, and quantity information
    • Transaction dates, creation dates, and status
    • Invoice photos and supporting documents
    • Employee information (driver, coordinator, yard manager who processed the transaction)
  • All Customer Requests - Preserved exactly as created, including:
    • Your name, phone number, and email address (as provided when request was made)
    • Service location, address, and area details
    • Request description and service type
    • Request dates, scheduled dates, and completion dates
    • Request status and tracking history
    • Employee information (coordinator who created, driver assigned, manager who assigned)
  • Financial Transaction Records - Including:
    • Payment records and amounts
    • Cash transaction history
    • Account balances and ledger entries
  • Employee Records in Transactions - Including:
    • Employee names, phone numbers, and email addresses
    • Employee roles and responsibilities
    • Work assignments and completion records

Legal Basis for Data Preservation:

  1. Saudi Tax Law (ZATCA): The Zakat, Tax and Customs Authority requires businesses to retain all tax invoices and financial records for a minimum of 6 years for audit and compliance purposes
  2. Accounting Standards: Financial and business records must be maintained in their original form without modification for accounting integrity
  3. Document Integrity: Invoices are finalized legal documents (similar to receipts) that must never be altered or modified after issuance
  4. Business Operations: Transaction data is classified as business operational data, not personal account data subject to deletion

Your Privacy After Account Deletion:

UUID Disconnection: When you delete your account, your unique user identifier (UUID) is permanently deleted. If you create a new account in the future, you will receive a completely new UUID with no technical connection to your previous account. This means:

  • Your new account will not have access to previous transaction history
  • Previous invoices and requests cannot be viewed from your new account
  • The system treats you as an entirely new customer
  • Complete privacy separation between old and new accounts

Employee Account Deletion:

Employee accounts CANNOT be deleted. This restriction applies to all employee roles including: Admin, Driver Manager, Yard Manager, Customer Coordinator, Driver, Sales Employee, Accountant, Observer, and Viewer.

Reason: Deleting employee accounts would compromise business continuity, violate accounting compliance requirements, and could result in data integrity issues. Employees who need account deactivation must contact their system administrator.

Security Requirements:

Re-authentication Mandatory: Before account deletion is processed, you must re-authenticate your identity by:

  • Entering your current password (for email/password accounts), OR
  • Signing in again with Google (for Google Sign-In accounts), OR
  • Signing in again with Apple (for Sign in with Apple accounts)

This security measure prevents unauthorized account deletion and ensures that only the legitimate account owner can delete their account.

11.2 By Us

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account remains inactive for an extended period
  • We discontinue the App or services

11.3 Effect of Termination

Upon termination, your right to use the App will cease. We may retain certain information as required by law or for legitimate business purposes.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through the App or by email. Continued use of the App after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or use of the App shall be subject to the exclusive jurisdiction of the courts of Saudi Arabia.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, we encourage you to contact us first to attempt an informal resolution.

14.2 Arbitration

If informal resolution is unsuccessful, disputes may be resolved through arbitration in accordance with Saudi Arabian arbitration laws.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gulf Scrap regarding use of the App.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

17. Acknowledgment

By using the App, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. You also acknowledge that these Terms constitute a binding legal agreement between you and Gulf Scrap.
